Larik Biotech co. Terms of Service
(DBA: Ragers™ and Ragers Club™)

PLEASE NOTE: RAGERS SERVICES ARE DESIGNED FOR NON-EMERGENCY MEDICAL CONDITIONS. IF YOU HAVE A MEDICAL EMERGENCY, PLEASE CALL 911 OR CONTACT YOUR LOCAL HEALTHCARE PROVIDER IMMEDIATELY.

By using our services, accessing our site, or clicking "I AGREE" to indicate your acceptance of these Terms, you agree to be legally bound by this Agreement. If you do not accept these Terms, you may not create an account or use Larik Biotech co. services. Any individual who signifies acceptance of these Terms on your behalf is authorized to act as your agent in doing so.

MANDATORY ARBITRATION NOTICE
This Agreement includes a mandatory arbitration clause. Unless you opt out within the specified period, you agree that disputes between you and Larik Biotech co. or its affiliates (including healthcare providers) will be resolved through binding, individual arbitration, waiving your rights to a jury trial and to participate in class action lawsuits.

1. Introduction
Larik Biotech co. and its affiliates ("Ragers," "Ragers Club," "we," or "us") own and operate ragers.club and may operate a mobile application in the future (collectively, the “Platform”). By using the Platform, you agree to be bound by these Terms of Service (“Agreement”). This Agreement governs your use of the Larik Biotech co. services and is a legally enforceable agreement between Larik Biotech co. and you.

2. Acceptance of the Terms
Your use of the Larik Biotech co. services is subject to this Agreement and all relevant laws and regulations. If you do not agree to these Terms, you may not access or use the services. The Platform and this Agreement may be updated periodically. Your continued use of the services after any changes are posted constitutes acceptance of these changes.

3. Relationship with Larik Biotech co.
These Terms apply to your use of Ragers services, including telehealth consultations provided by independent healthcare professionals associated with the MDI provider network.

Telehealth Consultations and Services
Larik Biotech co. provides access to healthcare services through the MDI provider network, where licensed medical providers deliver healthcare services via telehealth on the Ragers platform. Providers associated with MDI are independent professionals and are solely responsible for the healthcare services they deliver.

Secure HIPAA-Compliant Consultations
Consultations are provided via a secure platform, and providers may issue diagnoses and prescriptions as medically appropriate, including prescriptions for both controlled and non-controlled substances where authorized.

Fulfillment Pharmacy
Beaker Pharmacy, licensed in the U.S., coordinates the fulfillment of prescriptions at its location at 7810 Eldorado Pkwy STE 200, McKinney, TX 75072. Phone: 972-972-700

4. Membership and Benefits
Upon enrolling in Ragers services, you become a member of Ragers’s platform, gaining access to features such as customer support, coordination of pharmacy and clinical care, and health information management.

Medication Fulfillment
Larik Biotech co. coordinates prescription fulfillment through licensed pharmacies, including Beaker Pharmacy, which operates independently of Ragers. The pharmacy is solely responsible for its services.

5. Independent Medical Judgment
Larik Biotech co. does not practice medicine and does not provide healthcare services. All medical providers on our Platform are independent professionals, and Ragers does not interfere with the provision of healthcare services by these providers. Ragers is not liable for any medical decisions made by healthcare providers.

6. Electronic Communications
By registering, you agree to conduct business electronically with Larik Biotech co., consenting to receive notices and communications via email or SMS. Ragers is not responsible for the security of your chosen communication methods.

7. Third-Party Services
The Platform may provide access to services or products from third parties (e.g., laboratories, pharmacies, and other medical providers) who operate independently. Ragers is not responsible for third-party services.

9. Pharmacy Services
Larik Biotech co. does not operate as a pharmacy. By agreeing to this Agreement, you understand and acknowledge that any prescription fulfillment is handled by Beaker Pharmacy, located at 7810 Eldorado Pkwy STE 200, McKinney, TX 75072. Ragers does not control or oversee the professional services provided by Beaker Pharmacy, and any professional service you receive from Beaker is the sole responsibility of the pharmacy.

Additionally, we may at times of need fulfill through Curexa Pharmacy,  3007 Ocean Heights Ave, Egg Harbor Township, NJ 08234 and Pharmacy Hub, 3007 Ocean Heights Ave, Egg Harbor Township, NJ 08234, all pharmacies hereby referenced as Pharmacy Network.

10. Laboratory Products and Services
Laboratory services available through Ragers require a valid prescription from a licensed healthcare provider. Any charges for these services are included in your total bill, and fulfillment is handled by third-party laboratories.

11. Third-Party Products and Services
The Platform may offer access to products and services provided by third parties, such as MD Integrations for healthcare services and the, Ragers Pharmacy Network, for prescription fulfillment. You are solely responsible for any interaction with these third parties, and Larik Biotech co. is not liable for any disputes or issues that arise from such interactions.

12. Fees and Payments
You are responsible for all fees associated with your use of Ragers services, including healthcare provider charges. Larik Biotech co. does not accept insurance, and all services are billed on a cash-pay basis. Payment processing is handled through secure third-party processors, and you agree to provide accurate billing information to ensure prompt service.

13. Subscription Products and Services
Certain Ragers products and services are available on a subscription basis, with fees charged at regular intervals. You may cancel your subscription at any time by contacting Ragers customer support.

14. Cancellations and Refunds
If you cancel your Ragers subscription within 30 days of enrollment, you may be eligible for a full refund of your first month’s fee. Beyond this period, refunds are not available, although you will retain access to services through the end of the paid month.

Reactivation of Membership
If you cancel your membership while holding an active prescription, you may reactivate your membership by paying an additional one-month fee.

15. Prescription Products
Some Ragers services require a prescription, which may only be issued following a consultation with a healthcare provider. Prescription products may be fulfilled through the Ragers Pharmacy Network, although you may choose to use an alternative pharmacy. If you choose to fulfill your prescription outside of Ragers’s coordinated services, any additional costs or logistics are your responsibility.

16. Telehealth Consent
Telehealth services on the Ragers Platform enable remote consultations through video, phone, or secure messaging with healthcare providers in the MD Integrations network. By using these services, you agree to the Telehealth Consent, acknowledging the benefits and potential risks of telehealth.

17. User Responsibilities
You are responsible for maintaining the confidentiality of your account login credentials and for all activities under your account. You must use the Platform in compliance with applicable laws, and you agree to provide accurate and up-to-date information.

18. Use Restrictions
You agree not to misuse Ragers services, including, but not limited to, attempting unauthorized access, distributing harmful software, or engaging in fraudulent activities. Ragers reserves the right to terminate or restrict access to services for any violations of these Terms.

19. Intellectual Property
All content on the Ragers Platform, including text, graphics, logos, and software, is the exclusive property of Larik Biotech co. and is protected by intellectual property laws. You may not copy, reproduce, or exploit any part of the Platform without prior written consent.

20. Third-Party Links
The Platform may contain links to third-party sites. These links are provided for convenience, and Ragers is not responsible for the content or practices of any linked sites.

21. Disclaimer of Warranties
Larik Biotech co. provides the Platform and all services on an "as-is" basis, without any express or implied warranties. Ragers makes no representations about the accuracy, completeness, or reliability of services provided through the Platform.

22. Limitation of Liability
To the maximum extent permitted by law, Larik Biotech co. disclaims liability for any indirect, incidental, or consequential damages arising from your use of the Platform or from interactions with third parties facilitated by Ragers services.

23. Indemnification
You agree to indemnify and hold harmless Larik Biotech co., its affiliates, and its service providers from any claims, damages, or expenses arising from your misuse of the Platform or violation of these Terms.

24. Modifications to the Platform
Larik Biotech co. reserves the right to modify or discontinue any part of the Platform or services, with or without notice. Ragers is not liable for any modifications, suspensions, or discontinuations of the Platform.

25. Termination of Services
Your access to Ragers services may be suspended or terminated at any time if you violate these Terms. Upon termination, your access to the Platform will cease immediately.

26. Governing Law and Arbitration
This Agreement and any disputes arising from it are governed by the laws of the State of Florida. Any unresolved disputes will be settled through binding arbitration in accordance with the American Arbitration Association's rules, waiving the right to a jury trial and class action claims.

28. Severability of Provisions
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable, reflecting the original intent as closely as possible. Section headings are provided for convenience and do not affect interpretation of the Terms.

29. Third-Party Beneficiaries
This Agreement grants no rights or benefits to any third parties, except for the specific rights granted to Larik Biotech co.’s service partners, such as MDI providers and Beaker Pharmacy. These partners are intended third-party beneficiaries of this Agreement and may enforce relevant terms directly.

30. No Agency Relationship
This Agreement does not create any partnership, joint venture, or agency relationship between you and Larik Biotech co., MDI, or Beaker Pharmacy. You may not bind or represent Larik Biotech co. or any of its partners in any capacity.

31. Assignment
You may not assign any of your rights or obligations under this Agreement. Larik Biotech co. may assign or transfer its rights and obligations at its discretion, including through merger, acquisition, or asset sale, with notice to users where applicable.

32. Subscription Terms and Automatic Renewals
Certain Ragers services operate on a subscription model, with charges recurring at specified intervals. Subscriptions automatically renew until canceled by you. To cancel, contact Ragers customer support at least 30 days before the next billing cycle. You will retain access to the services for the remainder of any paid period after cancellation.

33. Refund Policy
If you cancel your subscription within 30 days of initial enrollment, you are eligible for a full refund of your first month’s fee. For cancellations beyond this period, no refunds are provided. Exceptions may be made on a case-by-case basis at Larik Biotech co.’s discretion.

34. Prescription Fulfillment and Child Safety
Prescriptions fulfilled by Beaker Pharmacy or other partner pharmacies may not use child-resistant packaging unless required by law. Please handle prescriptions with care and store them safely, especially in households with children. Larik Biotech co. assumes no liability for incidents arising from the handling or storage of prescription medications.

35. Copyright Infringement and Intellectual Property Concerns
If you believe that any content on the Ragers Platform infringes your copyright or other intellectual property rights, please notify our designated agent at compliance@ragers.club with a description of the material in question, your contact information, and a statement of your good faith belief that the use of the material is unauthorized.

36. Entire Agreement
This Agreement, along with the Privacy Policy and any additional agreements expressly referenced, constitutes the entire understanding between you and Larik Biotech co. regarding your use of the Platform. Any prior agreements or representations are superseded by this Agreement.

37. Amendments and Updates
Larik Biotech co. may update this Agreement at any time. Changes will take effect upon posting to the Platform. We encourage you to review these Terms regularly to stay informed of any updates. Your continued use of the Platform following any changes indicates your acceptance of the updated Terms.

38. Choice of Law and Jurisdiction
This Agreement is governed by the laws of the State of Florida, without regard to conflict of laws principles. You agree to submit to the personal jurisdiction of the courts in Florida for any disputes that are not subject to arbitration, as outlined in this Agreement.

39. Arbitration Agreement and Waiver of Class Action
Any disputes between you and Larik Biotech co., including issues related to this Agreement, will be resolved exclusively through binding arbitration, governed by the American Arbitration Association’s (AAA) rules. You waive the right to a trial by jury and to participate in class action lawsuits or class-wide arbitration. Arbitration will occur in a mutually agreed-upon location or in Florida if an agreement is not reached. Each party will bear its own costs in arbitration unless otherwise awarded by the arbitrator.

Opt-Out Option: You may opt out of this arbitration agreement by providing written notice to Larik Biotech co. within 30 days of first accepting this Agreement. Send opt-out requests to Larik Biotech co., PO Box 518, Windermere, FL 34786, with a clear statement of your wish to opt out.

Small Claims Exception: You or Larik Biotech co. may bring individual claims in small claims court instead of arbitration if the claim qualifies.

40. Notices
Notices to you from Larik Biotech co. regarding changes to the Terms, billing issues, or other important matters will be provided via email, on the Platform, or through other communication channels. Notices to Larik Biotech co. can be sent via email to support@ragers.club or by mail to PO Box 518, Windermere, FL 34786.

41. Termination of Agreement and Account Suspension
Larik Biotech co. reserves the right to terminate your account or access to the Platform if you violate any part of this Agreement or engage in actions that may harm Larik Biotech co. or its users. In such cases, all rights granted to you under this Agreement will cease immediately.

You may terminate your account at any time by contacting Ragers customer support. Termination does not absolve you of any payment obligations accrued before termination, and certain provisions (such as limitations of liability and indemnification) will survive termination.

42. Limitation of Time to File Claims
Any claim or cause of action arising from or relating to the use of the Platform or these Terms must be filed within one (1) year from the date the claim or cause of action arose. Failure to file within this time frame will result in the claim being permanently barred.

43. No Waiver
Larik Biotech co.’s failure to enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. A waiver will only be effective if in writing and signed by Larik Biotech co.

By using Larik Biotech co. services, you confirm that you have read, understood, and agreed to these Terms of Service in their entirety. Your continued use of Ragers’s Platform signifies acceptance of any updates to this Agreement, as they are made available on the Platform.

45. Availability of Services

Ragers offers telehealth services via MDI doctor network in all 50 states, Puerto Rico and Guam.
